1. Introduction: Welcome to Launch with Lee, a service provided by Jason Lee (Lee), a sole proprietor. By subscribing to our services, you agree to abide by the following terms and conditions. Please read this document carefully before proceeding.
2. Plans: Launch with Lee offers one plan:
   • Professional Plan: This plan permits 1-6 members from your business and provides assistance with a broad range of technological needs, including mobile apps and more complex or time-intensive demands.
3. Communications: We strongly encourage and prioritize asynchronous communication through writing for any discussions or inquiries, though members on the Professional Plans can schedule meetings with Lee as follows:
   • Professional Plan: Meetings must be scheduled at least 12 hours in advance. You may schedule up to three meetings per week, with a maximum total duration of 3 hours. Any additional communication can be done through writing.
4. Cancellation: As our plans are not recurring, no cancellation is necessary if you have no projects during a period of time.
5. Payment and Billing:
   • Payment Processor: Payment and billing for Launch with Lee are handled securely through Stripe Checkout, a trusted and reputable payment processing platform.
   • Plan Fee: You agree to pay the project plan fee associated with your chosen plan through Stripe Checkout.
   • Payment Method: Payments are processed using the payment method you provided during registration through Stripe Checkout.
   • Billing Cycle: Billing occurs once upon initial plan sign up, and will be processed through Stripe Checkout.
6. Privacy: Launch with Lee values your privacy and complies with applicable data protection laws. Please refer to our Privacy Policy for details on how we collect, use, and protect your information.
7. Intellectual Property: Any intellectual property created or developed during the course of our services, including websites and mobile apps, remains the property of Launch with Lee until full payment is received. After payment, ownership rights will be transferred as specified in our agreement. Additionally, Launch with Lee reserves the right to use completed projects, including websites and mobile apps, as examples of past work for promotional and portfolio purposes, unless otherwise specified in a separate agreement. This usage may include displaying project details, screenshots, and descriptions on the Launch with Lee website, in marketing materials, and in discussions with potential clients. However, Launch with Lee agrees not to disclose any proprietary or confidential information of the client in the course of such promotional use. If the client wishes to keep a project confidential or wishes to limit its use as an example of past work, this preference should be communicated and documented in our agreement prior to project commencement.
8. Satisfaction Guarantee: We are committed to providing exceptional services to our clients. Your satisfaction with our work is of utmost importance to us. If, for any reason, you are not satisfied with the services provided, please notify us promptly, and we will work to address your concerns.
   • Reach Improvement Commitment: We understand the importance of improving the reach and visibility of your website. We strive to deliver results that meet or exceed your expectations. If, after the agreed-upon services have been provided, you do not experience a noticeable increase in the reach or visibility of your site, we are dedicated to making it right.
   • Free Plan Offer: In the event that the reach and visibility of your website do not meet the mutually agreed-upon goals, we will continue to work with you at no additional cost until your satisfaction is achieved. This may include ongoing optimization, content updates, and other strategies to enhance your site's performance. Please note that this guarantee is subject to the following conditions: the goals and expectations for reach improvement must be clearly defined and agreed upon in writing before the commencement of services; any dissatisfaction or lack of reach improvement must be reported to us within a reasonable timeframe after the completion of the agreed-upon services; the free subscription period for reach improvement is limited and will be determined on a case-by-case basis, taking into consideration the specific circumstances and goals of the project.
9. Liability: Launch with Lee strives to provide high-quality services, but we cannot guarantee specific outcomes or results. We are not liable for any damages, losses, or disputes arising from the use of our services.
   • Limitation of Liability: To the fullest extent permitted by applicable law, Launch with Lee shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, losses, or disputes arising from the use of our services. This includes, but is not limited to, financial losses, data loss, business interruption, or any other damages or disputes, whether foreseeable or unforeseeable.
   • Indemnification: Users agree to indemnify and hold Launch with Lee harmless from any claims, losses, liabilities, or expenses (including legal fees) arising from their use of our services or any violation of these terms by the user or any third party acting on their behalf.
   • Professional Services: Launch with Lee provides professional services, and the user acknowledges that the ultimate responsibility for any decisions or actions taken based on our services rests with the user. We recommend seeking professional advice and conducting due diligence before making critical decisions.
   • Exceptions: This limitation of liability shall not apply to the extent prohibited by applicable law. If any part of this section is found to be unenforceable, the remainder of the section and the terms as a whole shall remain in effect.
10. Governing Law: This Agreement and any disputes arising from or related to its interpretation, execution, or breach shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to its conflict of laws principles. Any legal actions or proceedings arising out of or in connection with this Agreement shall be initiated and conducted exclusively in the state or federal courts located within the State of Washington. By using our services or products, you consent to the jurisdiction of these courts and agree to accept service of process by mail. This choice of governing law and jurisdiction is made to ensure clarity and consistency in the resolution of any disputes that may arise from this Agreement. It is agreed by all parties involved that any legal matters related to this Agreement shall be exclusively addressed within the State of Washington.
11. User Accounts: Users have the option to create user accounts on our platform. User accounts are not mandatory for all users but are recommended for those who wish to make asynchronous updates to their business data or access certain additional features and services.
    • Account Responsibilities: Users who choose to create accounts are responsible for maintaining the confidentiality and security of their account credentials, including usernames and passwords. Users are also responsible for all activities that occur under their accounts.
    • Account Information: Users are required to provide accurate and up-to-date information when creating and maintaining their accounts. Any changes to account information should be promptly updated to ensure accuracy.
    • Account Termination: Users may terminate their accounts at any time by following the provided account termination procedures. Launch with Lee reserves the right to terminate or suspend user accounts for any violations of these terms of service or for any other reason deemed necessary by Launch with Lee.
    • Account Privacy: We are committed to protecting the privacy and security of user account information. For more details on how we collect, use, and protect account data, please refer to our Privacy Policy.
    • Access and Permissions: Launch with Lee may offer different levels of access and permissions for user accounts, depending on the nature of the services provided. Users with accounts may have the ability to manage their business data and perform certain actions asynchronously through the platform.
    • User Responsibilities: Users are responsible for ensuring that their accounts are used in compliance with all applicable laws, regulations, and these terms of service. Any misuse or unauthorized access to accounts should be reported promptly to Launch with Lee.
12. Severability: In the event that any provision of this Agreement is found to be unenforceable or invalid under applicable law by a court or regulatory authority having proper jurisdiction, such unenforceability or invalidity shall not render this Agreement as a whole unenforceable or invalid. Instead, the unenforceable or invalid provision shall be severed from this Agreement, and the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. Furthermore, any such unenforceable or invalid provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties, as expressed in the severed provision. The failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision of this Agreement.
13. Force Majeure: Launch with Lee shall not be liable or responsible for any delay, interruption, failure, or disruption in the provision of services or the fulfillment of obligations under this Agreement caused by events or circumstances beyond our reasonable control. Such events or circumstances may include, but are not limited to, acts of nature, war, terrorism, civil unrest, strikes, labor disputes, government actions, power outages, natural disasters, and any other force majeure event. In the event of a force majeure event, Launch with Lee will make reasonable efforts to mitigate its impact on the provision of services and the fulfillment of obligations under this Agreement. We shall not be deemed to be in breach of this Agreement due to such events or circumstances, and any affected deadlines or performance obligations shall be extended for the duration of the force majeure event. We will promptly notify you of any force majeure event and its expected duration. If a force majeure event continues for an extended period, either party may choose to terminate this Agreement without penalty by providing written notice to the other party.
14. Entire Agreement: This Agreement constitutes the entire understanding and agreement between you and Launch with Lee regarding the subject matter herein and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written. No modifications, amendments, or additions to this Agreement shall be binding unless in writing and signed by both parties. However, Launch with Lee reserves the right to update or modify this Agreement as provided in the "Modification of Terms" section.
15. Modification of Terms: We reserve the right to modify these terms and conditions at any time. You will be notified of significant changes, and your continued use of our services after such modifications constitutes your acceptance of the revised terms.
